Collaboration Agreement between the App and Brands

This agreement establishes the terms and conditions for the collaboration between the platform (hereinafter, "App") and the contracting companies (hereinafter, "Brands") that wish to use the services of UGC (User Generated Content) Content Creators through the App.

1. Purpose of the agreement

The purpose of this agreement is to regulate the engagement of Content Creators through the App for the production of UGC content for promotional and advertising purposes for the Brand.

2. Use of the platform

The Brand may publish collaboration offers on the App specifying requirements, deadlines, and conditions for the requested content.

The App will act as an intermediary facilitating the connection between the Brand and the Creators.

3. Usage rights and intellectual property

The Brand obtains the rights of exploitation, reproduction, distribution, and transformation of the content delivered by the UGC Creator, in accordance with the specific agreement with each UGC Creator.

The App does not claim any copyright over the generated content, limiting itself to providing the intermediation platform.

4. Payment conditions

The Brand must pay the corresponding amount to the App at the time of creating the UGC content offer.

Payment to the UGC Creator will be made once the content has been approved by the Brand and meets the standards agreed upon in the brief.

5. Confidentiality

All information shared between the Brand and the App shall be treated as confidential.

The Brand may not disclose internal details of the App or its operation without prior written consent.

6. Liability and warranty disclaimer

The Brand assumes responsibility for the use of the content and its compliance with applicable advertising regulations.

7. Termination of agreement

The App may deactivate a Brand if it breaches the terms of use or generates recurring conflicts with the Creators.

The Brand may cancel its account on the App at any time, without affecting the rights acquired over previously contracted content.

8. Acceptance of conditions

By registering and using the App, the Brand declares that it has read, understood, and accepted the terms and conditions of this agreement, committing to comply with all obligations described herein.

9. Credit expiration

Credits acquired by the Client shall have a maximum validity of nine (9) months from the date of purchase. Once this period has elapsed without being used, these credits shall be considered expired and may not be refunded or used.

10. Acceptance of UGC Creators enrolled in an offer

In the event that the Client publishes an offer and it receives the enrollment of at least ten (10) content creators (UGCs), the Client shall be obligated to accept or reject the selected creators within the deadline established in the offer. If no action is taken within that deadline, the Client shall have a maximum of nine (9) months from the date of publication of the offer to accept the enrolled UGCs. After this period, and provided there have been a minimum of ten (10) enrollments, the amount corresponding to said offer shall be considered expired and may not be used or refunded.

In the event that the number of enrollments is fewer than ten (10), this clause shall not apply.
