Collaboration Contract | UGC

This contract establishes the terms and conditions for the creation of UGC (User Generated Content) content between the Content Creator (hereinafter, "UGC") and the contracting company (hereinafter, "Brand").

Purpose

The purpose of this agreement is the creation of audiovisual content for promotional purposes for the Brand. The UGC commits to producing and delivering the material under the agreed terms.

Delivery Deadlines

The UGC must deliver the content within the deadline established by the platform. In case of delay, financial penalties or cancellation of the agreement may apply.

Rights Assignment and Image Use

The UGC assigns to the Brand the rights of exploitation, reproduction, distribution, transformation, and public communication of the generated content, without territorial or temporal limitation. Likewise, the UGC authorizes the Brand to use their personal image included in the content solely for organic dissemination on social media, expressly excluding any use for paid advertising purposes (Paid Media) or on websites, e-commerce, landing pages, blogs, marketplaces or other Web media. This authorization is non-exclusive, without territorial or temporal limitation.

Paid Media Rights

In case the offer includes the assignment of rights for Paid Media, the UGC authorizes the Brand to use their image and the generated content for promotional, commercial and advertising purposes on any digital platform or channel, including, by way of example and without limitation, social media, digital advertising platforms, websites, blogs, landing pages, marketplaces and other digital media.

This authorization is non-exclusive, with permitted use without territorial limitation and for a period of nine (9) months. During this period, the Brand may use, adapt, reproduce, publish and disseminate the content on the indicated digital channels, without requiring additional approvals from the UGC.

Organic Web Usage Rights

In case the offer includes the assignment of rights for Web use, the UGC authorizes the Brand to use their image and the generated content on websites, online stores, e-commerce, landing pages, blogs, marketplaces and other digital media owned by the Brand, for commercial, promotional and informational purposes.

This authorization is non-exclusive, without territorial limitation and for the usage period contracted in the corresponding offer.

During the contracted period, the Brand may use, reproduce, adapt, publish and distribute the content on the indicated Web media, without requiring additional approvals from the UGC. Once this period ends, the Brand must cease the use of the content on the Web media subject to this assignment, unless an extension or renewal of the rights is expressly agreed.

Compensation and Revisions

The financial compensation will be as established in the offer accepted by the UGC. Payment will be made through the App once the Brand has approved the content. The Brand may request 3 corrections at no additional cost. In case of non-compliance with the brief guidelines, the Brand may request changes until the created content meets what was requested.

Confidentiality

The UGC may not disclose information about the Brand or the content developed without express authorization. It is prohibited to share project details with third parties or publish them without consent.

Termination and Content Rejection

This contract may be terminated if the UGC does not meet the agreed deadlines or quality standards. The Brand reserves the right to reject the content if it does not meet the specifications of the provided briefing. The Brand commits to providing a clear and objectively detailed briefing, avoiding vague or subjective terms, to ensure that expectations and requirements are understood and met precisely by both parties. If the briefing is adequate, the Brand may request up to 3 revisions of the content, at no additional cost, to ensure that the final material meets their expectations and brand needs.

Acceptance

Both parties, by accepting the offer in the App, declare that they have read, understood, and accepted the terms of this contract, committing to comply with all obligations described herein.
